InfluenceFlow is a marketplace platform that connects brands, agencies, and businesses ("Brands") with content creators and influencers ("Creators") for marketing campaigns and collaborations. We facilitate: - Campaign creation and management - Creator discovery and matching through media kits - Social media integration (Instagram, YouTube, TikTok, etc.) - Content delivery and approval - Payment processing - Performance analytics
3. User Accounts and Registration
3.1 Account Creation
- You must provide accurate and complete information
- You are responsible for maintaining account security
- You must be at least 18 years old to use the Platform
- One person may not maintain multiple accounts
3.2 Account Types
- Creators: Individual content creators and influencers
- Managers: Talent managers representing creators
- Brands: Companies seeking influencer partnerships
- Agencies: Marketing agencies managing brand campaigns
3.3 Verification
We may require identity verification for certain features, including payment processing.
3.4 Social Media Connections
When you connect social media accounts (YouTube, Instagram, TikTok, etc.): - You grant us permission to access the data you authorize through OAuth - You can revoke access at any time through your account settings - You are responsible for complying with each platform's terms of service - We will only use your social media data as described in our Privacy Policy
4. User Conduct and Responsibilities
4.1 Acceptable Use
You agree to: - Provide accurate information in your profile and campaigns - Respect intellectual property rights - Comply with all applicable laws and regulations - Maintain professional conduct in all interactions - Honor campaign commitments and deadlines
4.2 Prohibited Activities
You may not: - Post false, misleading, or fraudulent content - Misrepresent your social media statistics or engagement metrics - Engage in harassment, discrimination, or abusive behavior - Violate platform or social media platform guidelines - Circumvent our payment system - Use automated tools to access the Platform - Share login credentials with others - Engage in spam or unsolicited communications
4.3 Content Standards
All content must: - Comply with FTC disclosure requirements - Be original or properly licensed - Not infringe on third-party rights - Meet platform community guidelines - Comply with applicable advertising standards
5. Campaign Terms
5.1 Campaign Creation (Brands)
- Brands must provide clear, accurate campaign briefs
- Payment terms must be specified upfront
- Brands are responsible for legal compliance of campaigns
- Campaign requirements cannot be changed after creator acceptance without mutual agreement
5.2 Campaign Participation (Creators)
- Creators must deliver content as specified in campaign terms
- Content must meet quality standards and deadlines
- Creators are responsible for FTC disclosure compliance
- Creators must have rights to use any music, images, or other content
5.3 Content Rights and Usage
- Creators retain ownership of their original content
- Brands receive usage rights as specified in campaign terms
- Usage rights are non-exclusive unless otherwise agreed
- Creators grant InfluenceFlow limited rights to display content for platform purposes
6. Payments and Fees
6.1 Platform Fees
- InfluenceFlow charges a service fee on successful campaigns
- Fee structure is disclosed before campaign acceptance
- Fees are automatically deducted from payments
6.2 Payment Processing
- Payments are processed through Stripe
- Creators must provide valid payment information
- Brands authorize payment upon campaign completion and approval
- Payment disputes must be resolved through our platform
6.3 Refunds and Cancellations
- Campaign cancellations must follow platform policies
- Refunds are subject to campaign terms and completion status
- Partial refunds may apply for partially completed work
6.4 Taxes
- Users are responsible for their own tax obligations
- We may provide tax reporting documents as required by law
- International users must comply with their local tax requirements
7. Intellectual Property
7.1 Platform Rights
InfluenceFlow owns all rights to the Platform, including: - Software, design, and functionality - Trademarks and branding - Proprietary algorithms and matching systems
7.2 User Content
- Users retain ownership of their original content
- Users grant us license to use content for platform operations
- Users represent they have rights to all content they upload
7.3 DMCA Compliance
We comply with the Digital Millennium Copyright Act and will respond to valid takedown notices.
8. Privacy and Data Protection
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information, including data from connected social media accounts.
9. Platform Availability and Modifications
9.1 Service Availability
- We strive for high uptime but cannot guarantee uninterrupted service
- Scheduled maintenance will be communicated in advance
- We are not liable for service interruptions

- We may modify features, pricing, or terms with notice
- Continued use constitutes acceptance of changes

10. Termination

10.2 Termination by InfluenceFlow
We may terminate accounts for: - Violation of these Terms - Fraudulent or illegal activity - Extended inactivity - Business reasons with notice
11. Disclaimers and Limitations
11.1 Platform Disclaimer
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
11.2 User Interactions
- We are not party to agreements between users
- We do not guarantee user performance or reliability
- Users interact at their own risk
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE FEES PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold InfluenceFlow harmless from claims arising from: - Your use of the Platform - Your violation of these Terms - Your content or campaigns - Your interactions with other users - Your violation of any third-party rights, including social media platform terms
13. Dispute Resolution
13.1 Internal Resolution
We encourage resolving disputes through our customer support team first.
13.2 Arbitration
Disputes that cannot be resolved internally will be subject to binding arbitration under the American Arbitration Association rules.
13.3 Class Action Waiver
You waive the right to participate in class action lawsuits against InfluenceFlow.
14. Governing Law
These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and InfluenceFlow.
